Q: kenapa perlu bayar yuran bulanan kepada setiausaha syarikat?
A: Yuran bulanan yang dibayar kepada setiausaha Syarikat adalah sebagai menggunakan
nama setiausaha dalam apa jua dokumen syariat. disamping itu, yuran tersebut
untuk tanggungjawab yang digalas oleh setiausaha Syarikat dimana setiap perkara
yang melibatkan hal ehwal maklumat syarikat akan dikendalikan oleh setiausaha syarikat.
Sebagai contoh, apabila Syarikat tidak mematuhi mana-mana peraturan yang termaktub
dalam akta Syarikat 1965, Setiausaha juga akan bertanggungjawab.

- Pre-Incorporation - You must find name of company that is unique, or you can surf https://product.ssm-einfo.com.my/uni/findroc.php and enter your proposed company name. If you confirm that the company name has not been used by any other company, then you may call us to lodge Form 13A to SSM. Next step, if the name has been approved, then you'll be given a reference number. We will call you to sign Memorandum & Articles of Association (called MNA) and Form 48A (Statutory declaration by a person before appointment as director, or by a promoter before incorporation of corporation) to declare that you are not a bankrupt. You must submit to us a copy of your IC or for foreigner photocopy of your passport.
- Incorporation - after we have submitted the forms and approved by SSM, form 9 (certificate of incorporation) will be awarded.
- Post-Incorporation - We will then ask client to come to our office to sign Form 24, 44, 49 for submission to ROC / SSM.

SSM NAIK KOMPAUN SYARIKAT 500%

KUALA LUMPUR 16 Okt. – Suruhanjaya Syarikat Malaysia (SSM) akan meningkatkan kadar kompaun sehingga 500 peratus bagi 199 jenis kesalahan, yang dilakukan oleh syarikat dan firma perniagaan tempatan.
Ketua Pegawai Eksekutif SSM, Abdul Karim Abdul Jalil berkata, kenaikan itu yang akan dilaksanakan dalam masa terdekat bagi memastikan pengarah-pengarah syarikat mematuhi semua peraturan Akta Syarikat 1965.
‘‘Walaupun kadar pematuhan di kalangan pengarah syarikat tempatan semakin meningkat, namun kenaikan kompaun itu akan mempengaruhi lebih ramai pengarah untuk mematuhi peraturan di bawah Akta Syarikat 1965,’’ katanya kepada Utusan Malaysia di sini.
Setakat 31 Julai lalu, sejumlah 781,229 syarikat telah diperbadankan di negara ini iaitu meningkat sebanyak 5.15 peratus berbanding 740,934 syarikat pada tahun lalu.
Katanya, daripada jumlah itu, sebanyak 486,059 syarikat adalah aktif, manakala selebihnya dalam kategori tidak aktif dan menunggu masa untuk dibatalkan pendaftaran mereka.
Abdul Karim berkata, pertambahan bilangan syarikat yang diperbadankan itu adalah berikutan persekitaran ekonomi yang kondusif dan galakan yang diberikan kerajaan.
Selain itu, katanya, pelancaran Wilayah Pembangunan Iskandar (WPI) di Johor dan Projek Pembangunan Wilayah Ekonomi Koridor Utara (NCER) sedikit sebanyak telah meningkatkan peluang perniagaan.
Ketika ditanya mengenai kadar pematuhan di kalangan pengarah syarikat, beliau berkata, sehingga pertengahan Ogos lalu, sebanyak 339,592 syarikat daripada keseluruhan 486,059 syarikat yang aktif telah mematuhi dan menyerah penyata tahunan dan kewangan kepada SSM.
‘‘Jumlah itu adalah satu peningkatan berbanding tempoh yang sama pada tahun lalu yang hanya mencatat 245,682 syarikat tampil menghantar penyata berkenaan daripada 515,498 syarikat yang aktif,’’ katanya.
Ketika ditanya berkenaan tindakan SSM terhadap syarikat yang masih belum menyerah penyata tahunan dan kewangan mereka, katanya, SSM mengamalkan pendekatan penguatkuasaan seimbang.
SSM tidak akan terus mengenakan tindakan saman terhadap syarikat yang belum menyerah dokumen tersebut, sebaliknya menghantar notis untuk mendapatkan maklumat syarikat di bawah seksyen 7(11)(a) Akta Syarikat 1965.

SECTION 124 COMPANIES ACT 1965
QUALIFICATION OF DIRECTOR..
1. Without affecting the operation of any of the preceding provisions of this division, every director, who is by the articles required to hold a specified share qualification and who is not already qualified, shall obtain his qualification within two months after his appointment or such shorter period as is fixed by the articles.
2. Unless otherwise provided by the articles the qualification of any director of a company must be held by him solely and not as one of the several joint holders.
3. A director shall vacate his office if he has not within the period referred to in subsection (1) obtained his qualification or if after so obtaining it he ceases at any time to hold his qualification.
Penalty: One thousand ringgit. Default penalty
4. A person vacating office under this section shall be incapable of being reappointed as director until he has obtained his qualification.
SECTION 125 COMPANIES ACT 1965
UNDISCHARGED BANKRUPTS ACTING AS DIRECTORS.
1. Every person who being an undischarged bankrupt act as director of, or directly or indirectly takes part in or is concerned in the management of, any corporation except with the leave of the Court shall be guilty of an offence against this act.
penalty : Imprisonment for five years or one hundred thousand ringgit or both.
2. The court shall not give leave under this section unless notice of intention to apply therefor has been served on the Minister and on the Official Receiver and the Minister and the Official Receiver or either of them may be represented at the hearing of and may oppose the granting of the application.
